Welcome to RebateTrail (hereinafter referred to as “the Platform” or “we”). The Platform is operated and services are provided by Mantu (Shanghai) Travel Consulting Co., Ltd. (缦途(上海)旅游咨询有限公司, registered address: Building 1-3, No. 63 Liantai Road, Baoshan District, Shanghai; hereinafter referred to as “the Company”).
Please carefully read and fully understand the entire contents of these Terms of Service (hereinafter referred to as “these Terms”) before registering for and using the Platform’s services, particularly the provisions highlighted in bold. If you do not agree with any part of these Terms, please do not register for or use the Platform’s services.
By clicking “Agree” or “Register,” or by using the Platform’s services in any manner, you are deemed to have read, understood, and agreed to be bound by all provisions of these Terms.
1. Definitions
In these Terms, unless otherwise specified, the following terms shall have the meanings set forth below:
- The Platform: refers to the RebateTrail website (rebatetrail.com) and its related services
- User (or “you”): refers to an individual who registers for and uses the Platform’s services
- Agent: refers to a merchant or organization that partners with hotels and suppliers and is responsible for cashback settlement and distribution. The Platform serves as a technology service provider, offering information matching and rule-based calculation support for the cashback process between agents and users
- Cashback: refers to the cash rebate that the Agent, at its sole discretion, decides whether to distribute to the user and in what amount, based on the Agent's actual settlement with upstream suppliers. The cashback amounts displayed on the Platform are reference values calculated by the Platform's rules and do not constitute a payment commitment
- Cashback application: refers to the act of a user submitting hotel booking information through the Platform to apply for cashback
- Wallet: refers to a bookkeeping tool maintained by the Platform for each user, used to record cashback amounts confirmed by the Agent and withdrawal application records. The wallet does not constitute fund custody or escrow; the Platform does not hold or safeguard users' cashback funds
- Cashback case: refers to the processing unit created by the Platform after performing rule-based determination on a user’s cashback application
2. Account Registration and Management
2.1 Registration Requirements
To register an account on the Platform, you must meet the following conditions:
- Be at least 18 years of age and have full civil capacity
- Provide truthful, accurate, and complete registration information
- Each person may only register one account; holding multiple accounts by one person is prohibited
2.2 Registration Methods
The Platform supports the following registration methods:
- Email registration: provide a valid email address and complete verification
- WeChat login: quick registration and login through WeChat authorization
2.3 Account Security
- You shall properly safeguard your account login credentials and shall not transfer, lend, or in any way allow others to use your account
- You shall bear all losses caused by your account being used by others due to your own fault
- If you discover any abnormalities with your account, you should contact us immediately
2.4 Truthfulness of Account Information
- You warrant that the registration information and booking information you submit are truthful, accurate, and complete
- If your cashback application cannot be processed or fails review due to false or inaccurate information, you shall bear the consequences
- We reserve the right to verify account information and may suspend or terminate your account if information is found to be untrue
3. Service Description
3.1 Platform Service Overview
The Platform is a technology service platform for hotel cashback rule determination and tracking management, providing information matching, rule-based calculation, and reconciliation assistance for the cashback process between users and agents. The Platform itself does not participate in the settlement or distribution of cashback funds, does not hold user funds in custody, and does not assume payment obligations for the final distribution of cashback.
3.2 Cashback Service Process
The basic process of the cashback service is as follows:
- Submit a cashback application: after logging in, submit hotel booking information (including booking reference number, check-in date, hotel brand, etc.)
- Information verification: the Platform verifies and validates the booking information
- Rule-based determination: Cashback may only enter the determination process after the hotel stay has been completed. Bookings where the stay was not completed (including but not limited to cancellations, no-shows, and early checkouts) do not generate cashback
- Cashback recording: once the Agent confirms the cashback amount, it will be recorded in your Platform wallet (this is a bookkeeping entry only and does not mean the Platform holds such funds)
- Request withdrawal: you may request a withdrawal once withdrawal conditions are met; the Platform will forward your withdrawal request to the Agent for processing, and the Agent will complete the payment
3.3 Cashback Calculation
- The Platform calculates reference cashback amounts based on rules provided by the Agent. Whether cashback is distributed, the final amount, payment timing, and payment method are all determined solely by the Agent. The cashback rates and estimated amounts displayed on the Platform are reference values only and do not constitute any commitment or guarantee
- The Agent has the right to adjust cashback amounts based on its actual settlement with upstream suppliers, including but not limited to the determination of the cashback base amount, adjustment of cashback rates, and whether to distribute cashback to users
- Cashback amounts do not include taxes, service fees, cancellation charges, or other non-commission components of a booking
- Where currency conversion is involved, the exchange rate shall be based on the rate used by the Agent at the time of actual settlement; the exchange rate displayed by the Platform is a reference value only and may differ from the real-time market exchange rate. The final cashback amount shall be the amount actually distributed by the Agent
3.4 Cashback Exclusions
Cashback will not be generated or will be cancelled in the following circumstances:
- The booking is cancelled or a full refund is issued
- The user did not actually complete the stay (no-show)
- The booking information submitted is false or inaccurate
- The same booking is submitted multiple times
- The hotel refuses to pay the commission or the commission is clawed back
- The booking violates the hotel’s terms and conditions
- The user has engaged in prohibited conduct as described in Section 7 of these Terms
In addition, the Agent reserves the right to refuse to distribute any specific cashback without providing a reason. The Platform may also recommend that the Agent withhold distribution based on risk control policies, including but not limited to the following circumstances:
- Bookings involving sanctioned individuals, entities, or regions
- Transactions deemed to present a risk based on the Platform’s or Agent’s risk control policies
- Circumstances where the Agent determines, for commercial reasons, that cashback should not be distributed
3.5 Cashback Timeframe
- Due to differences in hotel commission settlement cycles, it typically takes 30 to 90 days from the time you submit a cashback application to the final confirmation of cashback
- In special circumstances (such as delays in hotel settlement), this period may be longer
- The Platform will make reasonable efforts to expedite processing but does not commit to specific processing timelines
4. Wallet and Withdrawal
4.1 Wallet
- The Platform maintains a virtual wallet for each user, solely as a bookkeeping tool, to record cashback amounts confirmed by the Agent and withdrawal application records
- The wallet balance does not represent funds held or custodied by the Platform; actual cashback funds are managed by the Agent
- Wallet balances do not earn interest
- Wallet balances are non-transferable to other users
4.2 Withdrawal Rules
- The specific withdrawal rules (including but not limited to minimum withdrawal amounts, available withdrawal methods, withdrawal fees, etc.) are determined by the Platform and the Agent jointly and may be changed at any time without notice. You should review the Platform’s current published withdrawal rules before each withdrawal request
- Withdrawal processing time: The Platform will forward your withdrawal request to the Agent for processing upon receipt. The Agent typically completes review and payment within 30 business days, but the actual timing depends on the Agent’s payment arrangements. The Platform or the Agent reserves the right to extend the processing time for abnormal or high-risk withdrawal requests
4.3 Withdrawal Account
- The withdrawal account must be an account held in your own name
- You shall bear the consequences of any payment failure or erroneous payment caused by incorrect payment information you provide
- The Platform reserves the right to review abnormal withdrawal activities and may require you to provide identification as necessary
4.4 Erroneous Credits
If cashback amounts are erroneously over-recorded due to a Platform system error, the Platform has the right to correct the relevant bookkeeping records in the wallet. If the Agent has already completed payment based on the erroneous records, you shall cooperate in refunding the overpaid difference.
4.5 Tax Obligations
The cashback, referral rewards, and other income you receive through the Platform may be subject to tax reporting obligations. You shall independently ascertain and comply with the tax laws and regulations of your applicable jurisdiction and truthfully report and pay the relevant taxes to the competent tax authorities as required. The Platform does not provide tax advice and does not assume the obligation to withhold or remit taxes on your behalf (unless otherwise required by laws and regulations). You shall bear all legal consequences arising from your failure to fulfill your tax reporting obligations.
5. Referrals and Rewards
5.1 Referral Program
- You may invite new users to register on the Platform by generating a referral code
- The specific rules for referral rewards (including reward amounts, triggering conditions, etc.) are subject to the campaign rules published by the Platform
- The Platform reserves the right to adjust the referral program rules at any time
5.2 Reward Distribution
- Referral rewards are automatically credited to your wallet once the triggering conditions are met
- Rewards obtained through fraudulent referrals, self-referrals, cross-referrals between multiple accounts, or similar schemes may be clawed back by the Platform, and your referral eligibility may be revoked
6. Account Dormancy and Termination
6.1 Account Dormancy
If your account has had no login activity for 18 consecutive months, your account will be classified as dormant.
6.2 Consequences of Dormancy
- After an account enters dormant status, the Platform has the right (but is not obligated) to close your account and forfeit the account balance
- Before closing the account, the Platform will send a notification to you through the contact information you have provided (such as email)
- You may restore your account to active status by logging into the Platform within 30 days of receiving the notification
6.3 Voluntary Account Deactivation
- You may request to deactivate your account at any time
- Before deactivation, please ensure that all pending withdrawal requests have been completed
- You may request a withdrawal of any remaining balance before deactivation; any balance not withdrawn by the deactivation date shall be deemed voluntarily forfeited by you
6.4 Platform-Initiated Account Termination
The Platform has the right to immediately suspend or terminate your account without prior notice in the following circumstances:
- You violate any provision of these Terms
- You engage in prohibited conduct as described in Section 7
- Your account poses a security risk or exhibits abnormal activity
- As required by laws, regulations, or regulatory authorities
If an account is terminated due to a violation, the entire balance in the account will be forfeited.
7. Prohibited Conduct
While using the Platform’s services, you shall not engage in the following conduct:
7.1 Account-Related
- Registering multiple accounts (associated factors such as the same natural person, the same device, or the same payment account will be deemed to indicate the same user)
- Registering with false identity information
- Selling, transferring, or renting out an account
- Misappropriating or attempting to misappropriate another person’s account
7.2 Cashback-Related
- Submitting false, forged, or tampered booking information
- Exploiting system vulnerabilities to obtain improper cashback
- Colluding with hotel staff to fabricate booking records
- Maliciously submitting the same booking information repeatedly
7.3 Technology-Related
- Using bots, crawlers, scripts, or other automated tools to access the Platform
- Attempting to reverse engineer, decompile, or crack the Platform
- Launching denial-of-service attacks or engaging in other conduct that disrupts the normal operation of the Platform
- Accessing the Platform’s systems or data without authorization
7.4 Other
- Using the Platform for money laundering or other illegal activities
- Publishing illegal, infringing, defamatory, or harmful content
- Infringing on the intellectual property rights of the Platform or third parties
- Other conduct that violates laws, regulations, or public order and good morals
8. Intellectual Property
8.1 Platform Content
All content on the Platform, including but not limited to text, images, interface designs, software code, trademarks, and logos, is protected by intellectual property laws and regulations of the People’s Republic of China. Without our written permission, you may not copy, modify, distribute, or otherwise use such content.
8.2 User Feedback
If you provide us with any feedback, suggestions, or comments, you agree that we may freely use such feedback to improve our services without any obligation to pay you any fees or assume any obligations.
9. Disclaimers and Limitation of Liability
9.1 Service Availability
- The Platform provides services on an “as is” and “as available” basis
- We do not warrant that the services will be uninterrupted, error-free, or completely secure
- We will make reasonable efforts to restore services promptly in the event of temporary interruptions due to system maintenance, upgrades, network failures, or force majeure, but we shall not be liable for any resulting losses
9.2 Third-Party Services
- The Platform relies on hotel partners and agents to provide commission data. If a hotel or agent refuses to pay commissions, delays payment of commissions, or commissions are clawed back, such events do not constitute a breach by the Platform, and the Platform shall not be liable for compensation
- The Platform assumes no responsibility for the quality of hotel services, price changes, or booking terms
- The WeChat services involved in WeChat login are provided by Tencent; the Platform assumes no responsibility for the availability or security of WeChat services
9.3 Cashback Amounts
- The estimated cashback amounts displayed on the Platform are reference values calculated by the Platform's rules only and do not constitute a commitment or guarantee; the final cashback amount shall be based on the Agent's actual settlement amount
- The exchange rate shall be based on the rate used by the Agent at the time of actual settlement; the reference exchange rate displayed by the Platform may differ from the real-time market exchange rate, and the Platform shall not be liable for exchange rate differences
- The Agent reserves the right to refuse to distribute any specific cashback based on upstream settlement, risk control, compliance, commercial, or other reasons, without having to provide specific reasons. The Platform may also recommend that the Agent withhold distribution based on risk control policies
9.4 Limitation of Liability
To the maximum extent permitted by applicable law, the total liability of the Platform arising from the performance of these Terms shall be limited to the total amount of cashback you actually received through the Platform in the 12 months preceding the dispute.
Under no circumstances shall the Platform be liable for indirect, incidental, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or other similar losses.
10. Dispute Resolution
10.1 Negotiation
Any dispute arising from or in connection with these Terms shall first be resolved through friendly negotiation between the parties.
10.2 Litigation
If negotiation fails, either party has the right to file a lawsuit with the competent People’s Court having jurisdiction over the place of performance of these Terms. The place of performance of these Terms is Baoshan District, Shanghai, People’s Republic of China (中华人民共和国上海市宝山区).
10.3 Governing Law
The conclusion, validity, interpretation, performance, and dispute resolution of these Terms shall be governed by the laws of the People’s Republic of China (excluding the laws of Hong Kong, Macau, and Taiwan).
11. Amendments to These Terms
- We reserve the right to amend these Terms as needed
- The amended Terms will be published on the Platform with an updated date noted
- For material amendments, we will notify you through Platform announcements, email, or pop-up notifications
- The amended Terms take effect upon publication. If you continue to use the Platform’s services after the Terms are amended, you are deemed to have agreed to the amended Terms. If you do not agree with the amended Terms, you should stop using the Platform’s services
12. Miscellaneous
12.1 Entire Agreement
These Terms (together with the Privacy Policy and other rules published by the Platform) constitute the entire agreement between you and the Company regarding the use of the Platform’s services and supersede all prior oral or written communications.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the invalidity or unenforceability of that provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
12.3 Waiver
Our failure to exercise or delay in exercising any right under these Terms shall not constitute a waiver of that right.
12.4 Assignment
You may not assign any rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or successor entity upon notice to you.
